Securing a Preliminary Injunction to Validate Shareholder Status

Summary: K&P Law Firm has successfully obtained a preliminary injunction recognizing the shareholder status of our client in a dispute against Company X, as ruled by the Seoul Southern District Court.

 

Case Details:

 

1. According to Company X's shareholder register dated April 16, 2020, our client, herein referred to as Shareholder Y, held a 3% stake in the total issued shares of the company.

2. However, on May 24, 2022, Shareholder Y's holdings were inexplicably absent from the shareholder list.

3. During this time, another shareholder, referred to as Shareholder Z, filed a claim against Company X and secured approval to convene an Extraordinary General Meeting (EGM) of shareholders.

4. It was crucial for Shareholder Y to be acknowledged as a shareholder and allowed to participate in the impending EGM, called upon by Shareholder Z. Therefore, Shareholder Y pursued a legal course to affirm his shareholder status of Company X, as it was a right that needed safeguarding.

 

Ruling: The Seoul Southern District Court upheld K&P's representation and validated Shareholder Y's status as a shareholder. Consequently, Shareholder Y was granted the right to exercise his shareholder privileges at the Extraordinary General Meeting.
